Suvu Seller Terms Of Services Agreement

This Seller Agreement (the “Seller Agreement”) is a binding agreement between Suvu LLC
(“Suvu,” “we,” “us,” or “our”) and the individual or entity registering for, accessing, or using Suvu as a seller, manufacturer, supplier, distributor, service provider, or other commercial participant (“Seller,” “you,” or “your”).
By registering for a seller account, listing products or services, using seller tools, accepting orders or inquiries, communicating with buyers through the platform, using any payment or shipping-related functionality, or otherwise using Suvu’s marketplace tools, you agree to this Seller Agreement.


  1. Marketplace Role Only

    Suvu operates an online marketplace and technology platform that allows users to connect, communicate, list, quote, market, buy, sell, invoice, and transact. Suvu is not the manufacturer, importer, exporter, distributor, broker, fulfillment provider, insurer, warehouse provider, testing laboratory, carrier, or seller of third-party goods unless Suvu expressly states otherwise in a separate written agreement.

    Sellers, buyers, and other users transact with each other at their own risk. Suvu does not take title to third-party goods, and Suvu is not responsible for product quality, safety, legality, labeling, certifications, delivery, performance, or fitness for use.


  2. Seller Eligibility and Authority


    You represent and warrant that:
    ● you are at least 18 years old;
    ● you have the legal authority to enter into this Seller Agreement;
    ● if acting for a business, you have authority to bind that business;
    ● all information you provide is accurate, current, and complete; and
    ● you will keep your account information updated at all times.

    You are responsible for all activity under your account, including the acts of employees, contractors, agents, affiliates, and anyone else accessing your account or acting on your behalf.


  3. Seller Responsibilities


    You are solely responsible for:
    ● your products, services, listings, offers, quotes, images, videos, specifications,
    descriptions, manuals, warnings, labels, certifications, compliance statements, pricing, minimum order quantities, inventory, and lead times;
    ● minimum order quantities, inventory, and lead times;
    ● ensuring your products and services are lawful, safe, non-defective, properly labeled, and compliant with all applicable laws, regulations, standards, and industry requirements;
    ● the manufacture, sourcing, storage, import/export status, customs compliance, packaging, shipment, delivery, and post-sale support of your products;
    ● obtaining and maintaining all permits, licenses, registrations, certifications, approvals, and insurance required for your business and products;
    ● all taxes, duties, tariffs, fees, returns, recalls, notices, and reporting obligations arising from your sales and operations, except only to the extent Suvu is expressly required by law to collect, withhold, remit, or report a specific tax or amount; and
    ● verifying the legitimacy, creditworthiness, and suitability of counterparties.


  4. Listings and Offers
    You are solely responsible for all listings, offers, quotes, invoices, proposals, media, data, specifications, and product information you post, upload, transmit, or make available through Suvu.

    You may not list any product or service that is illegal, unsafe, counterfeit, recalled, infringing, misleadingly described, prohibited by law, or restricted by Suvu policy. Suvu may remove, suppress, edit, reject, or restrict any listing or content at any time for any reason, including risk,
    safety, legal, operational, policy, business, or quality concerns.


  5. Eligible and Restricted Products

    Only lawful and eligible products and services may be listed on Suvu. Without limiting Suvu’s enforcement rights, prohibited or restricted categories may include products or services that are illegal, regulated without proper authorization, unsafe, recalled, hazardous, counterfeit, infringing, stolen, misleading, deceptive, offensive, or otherwise create legal, payment,
    insurance, trust, reputational, or operational risk.


    Suvu may define, revise, expand, or narrow its list of eligible, prohibited, or restricted products and services at any time, in its sole discretion, with or without prior notice.


  6. Orders, Transactions, and Off-Platform Dealings


    Sellers and buyers may communicate and transact through Suvu or by other means, including direct ACH, wire, check, cash, or other external payment or contracting arrangements. Where users transact outside Suvu or outside Suvu-supported payment, checkout, order-management, or transaction flows, Suvu is not a party to the transaction and bears no responsibility whatsoever for payment, nonpayment, fraud, chargebacks, taxes, compliance, shipment, loss,
    damage, product defects, delays, warranties, refunds, returns, personal injury, property damage, intellectual property claims, regulatory issues, or disputes of any kind.


    Any off-platform transaction is deemed a direct private business arrangement solely between the users involved, exactly as if those users had found each other and done business entirely on their own without Suvu. Even if the parties first met, communicated, were introduced, negotiated, or exchanged information through Suvu, once they transact outside Suvu-supported
    payment or transaction flows, they do so entirely at their own risk and Suvu has zero liability or responsibility relating to that transaction or relationship.

    Even where Suvu provides marketplace tools, messaging, invoicing, order workflows, or integrated payment options, Suvu does not become the seller, buyer, shipper, carrier, guarantor, insurer, or agent of either party.

    Suvu currently permits users to transact outside the platform. Suvu reserves the right, at any time and in its sole discretion, to adopt future policies restricting off-platform transactions, imposing additional marketplace fees, prohibiting fee avoidance or circumvention, or requiring certain transactions to remain on-platform, with notice as determined by Suvu.


  7. Payments; Holds; Reserves; Offsets


    Sellers may choose to use third-party payment processors supported or connected through Suvu, where available, or may transact directly with buyers outside Suvu. Any use of a third-party payment processor is subject to the processor’s own terms, underwriting, reserves, compliance requirements, payout controls, and policies.

    For transactions processed through or facilitated by Suvu or a Suvu-connected payment flow, Suvu may, in its sole discretion and for any reason, place holds, establish reserves, delay payouts, suspend withdrawals, offset amounts owed, reverse credits, deduct fees, deduct refunds, deduct chargebacks, deduct shipping adjustments, deduct penalties, and otherwise retain, freeze, or apply funds.

    Unless Suvu states otherwise in writing, seller payouts may be delayed for up to sixty (60) days after payment, order placement, shipment, delivery, dispute resolution, or any other event determined by Suvu, and may be held longer where Suvu believes doing so is necessary or advisable for fraud prevention, compliance, dispute handling, product safety, legal risk, processor requirements, reserve management, customer protection, or any other business reason. Suvu may hold money for as long as Suvu deems necessary in its sole discretion to protect Suvu, buyers, payment partners, or other users.

    Sellers have no right to immediate payout, and Suvu may condition payout on any verification, investigation, documentation, or risk review it deems necessary.


  8. Refunds, Returns, Disputes, and Final Determination
    Unless otherwise required by law or expressly stated by Suvu in writing, no return is permitted
    without seller approval. Sellers may approve or deny return requests in their discretion.
    Notwithstanding the above, Suvu reserves the unrestricted right, in its sole discretion, to
    investigate disputes, require evidence, freeze funds, reverse transactions, issue credits, force
    refunds, deny claims, approve claims, reallocate funds, or impose other resolutions it deems
    appropriate. Suvu’s determination on platform-related disputes may be final and binding within
    the platform environment.
    Sellers agree that Suvu may issue full or partial refunds to buyers, with or without seller
    approval, and may deduct or recover those amounts from current or future payouts, reserves,
    accounts, or any amounts otherwise owed to the seller.

  9. Taxes
    Sellers are solely responsible for all taxes, duties, tariffs, government fees, reporting obligations,
    and compliance arising from their business, products, listings, sales, shipments, and operations,
    including sales tax, use tax, excise taxes, VAT, GST, customs duties, import/export charges,
    withholding obligations, and income taxes, except only where Suvu is expressly required by law
    to collect, withhold, remit, or report a particular tax or amount.
    Where Suvu processes or facilitates a transaction through the platform, Suvu may calculate,
    collect, display, estimate, withhold, remit, or report taxes where Suvu determines it is required,
    permitted, or advisable to do so by law, regulation, processor policy, marketplace facilitator
    rules, or operational necessity. Any tax calculation, collection, display, remittance, or handling by
    Suvu does not shift overall tax responsibility away from the seller except to the limited extent
    non-waivable law clearly places a specific obligation on Suvu.
    Sellers remain fully responsible for the accuracy of all tax information they provide, including
    nexus status, taxability, exemption treatment, business classification, resale documentation, and
    product tax characterization. Suvu may rely on seller-supplied information without independent
    verification and is not liable for errors, omissions, under-collection, over-collection, or failures
    resulting from seller data, government changes, system limitations, or third-party tax tools.

  10. Shipping; Delivery; Loss; Damage
    Suvu is not responsible for shipping, transit, delivery performance, customs clearance, lost
    packages, damaged goods, delays, carrier conduct, or claims arising from shipment. The seller
    and the applicable shipping provider, carrier, freight company, broker, or logistics party are solely
    responsible for those matters.
    Any shipping labels, rates, software integrations, estimates, or logistics tools made available by
    Suvu are provided as a convenience only and do not create liability or responsibility for Suvu.

  11. Insurance Requirement
    Sellers must maintain all insurance reasonably appropriate for their business and risk profile,
    including commercial general liability and product liability insurance, and any other coverage
    required by law, payment partners, carriers, or Suvu. Suvu may require minimum policy limits,
    specific coverages, proof of insurance, certificates of insurance, policy endorsements, or
    evidence naming Suvu as an additional insured.
    Failure to maintain or provide required insurance may result in suspension, listing removal,
    payout holds, or termination.

  12. Product Safety; Recalls; Compliance
    You represent and warrant that all products and services you list or provide are lawful, safe,
    non-defective, properly tested where required, properly labeled, and compliant with all
    applicable laws and industry standards.
    You must immediately notify Suvu of any product safety issue, injury allegation, defect,
    nonconformity, regulatory inquiry, stop-sale, seizure, warning, recall, or market withdrawal
    involving your products or services. Suvu may remove listings, notify users, freeze funds, share
    relevant information with authorities or affected parties, and require corrective action at your
    expense.

  13. Intellectual Property; Patents; Trademarks;
    Copyrights
    You represent, warrant, and covenant that you own or control, or have all necessary rights,
    licenses, permissions, and authority for, all products, services, content, branding, names, logos,
    text, images, videos, CAD files, specifications, packaging, designs, technology, and other
    materials you post, list, upload, transmit, sell, or otherwise make available through Suvu.
    You further represent, warrant, and covenant that none of your products, services, listings,
    content, or activities infringes, misappropriates, dilutes, violates, or otherwise conflicts with any
    patent, patent application, trademark, trade dress, copyright, trade secret, moral right, publicity
    right, privacy right, contract right, or other intellectual property or proprietary right of any person
    or entity.
    You are solely responsible for all clearance, rights analysis, freedom-to-operate analysis,
    licensing, patent review, trademark review, copyright review, chain of title, and infringement risk
    for your products and content.
    Suvu may, at any time and in its sole discretion, remove, disable, suppress, de-index, or restrict
    listings or content, suspend accounts, freeze payouts, retain reserves, or disclose information in
    response to any actual or suspected intellectual property complaint, counterfeit allegation,
    unauthorized resale allegation, design-right allegation, or infringement concern. Suvu may do so
    before, during, or after investigation, and without liability to you.

  14. License to Suvu; Data Rights; Content Rights
    You grant Suvu and its affiliates, successors, assigns, partners, service providers, and
    sublicensees a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up,
    transferable, sublicensable license to host, store, reproduce, adapt, modify, format, translate,
    publish, distribute, transmit, display, perform, use, copy, index, analyze, process, create
    derivative works from, commercialize, market, train systems on, and otherwise exploit any
    content, data, listings, images, videos, product information, specifications, descriptions,
    communications, usage data, transactional information, metadata, and other materials you
    submit to, upload to, generate on, or make available through Suvu.
    To the maximum extent permitted by law, Suvu may use, reuse, repurpose, display, distribute,
    commercialize, license, sell, share, analyze, benchmark, aggregate, and otherwise exploit such
    information and materials for any business, commercial, operational, security, product, analytics,
    research, training, marketing, or development purpose, in identified, de-identified, anonymized,
    pseudonymized, aggregated, or other form, subject only to Suvu’s Privacy Policy and applicable
    law.
    You represent and warrant that you have all necessary rights and permissions to grant the
    foregoing rights.

  15. Account Verification; Information Requests;
    Monitoring
    Suvu may at any time require identity verification, business verification, beneficial ownership
    information, tax forms, formation documents, licenses, permits, certifications, insurance
    documents, invoices, supply chain records, banking information, product documents, test
    reports, compliance records, shipping records, or any other documentation or information Suvu
    deems necessary or advisable.
    Suvu may monitor accounts, listings, messages, orders, metadata, device signals, user activity,
    transaction patterns, and related information for fraud prevention, compliance, safety, platform
    integrity, risk management, dispute handling, legal protection, analytics, service improvement,
    and enforcement.
    Failure to provide requested information to Suvu’s satisfaction may result in application denial,
    account restriction, listing suppression, payout holds, reserve requirements, suspension,
    termination, legal escalation, or any other action Suvu deems appropriate.

  16. Suspension; Termination; Enforcement
    Suvu may suspend, restrict, freeze, hold, deactivate, de-index, remove, terminate, or otherwise
    limit any seller account, listing, payout, reserve, communication channel, integration, or feature
    at any time, with or without notice, for any reason or no reason, including risk, fraud,
    compliance, policy, legal, operational, reputational, safety, insurance, processor, tax, or business
    reasons.
    Suvu has no obligation to continue offering the platform or any seller access to it.

  17. Disclaimers
    THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.
    ” TO THE MAXIMUM EXTENT
    PERMITTED BY LAW, SUVU DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER
    EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF
    MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
    NON-INFRINGEMENT, SYSTEM INTEGRATION, QUIET ENJOYMENT, ACCURACY,
    AVAILABILITY, AND SECURITY.
    Suvu does not warrant or guarantee buyer legitimacy, seller legitimacy, payment completion,
    sales volume, product quality, shipping outcomes, tax treatment, regulatory compliance,
    marketability, or freedom from infringement.

  18. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU AND ITS AFFILIATES, OWNERS,
    MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS,
    AGENTS, LICENSORS, SUCCESSORS, AND SERVICE PROVIDERS SHALL NOT BE
    LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY,
    PUNITIVE, OR LOST PROFITS DAMAGES, OR ANY LOSS OF DATA, BUSINESS, REVENUE,
    REPUTATION, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO SUVU,
    THE PLATFORM, ANY LISTING, ANY ORDER, ANY SHIPMENT, ANY PRODUCT, ANY
    OFF-PLATFORM TRANSACTION, ANY USER DISPUTE, OR THIS SELLER AGREEMENT,
    EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU’S TOTAL AGGREGATE LIABILITY
    ARISING OUT OF OR RELATING TO THE PLATFORM OR THIS SELLER AGREEMENT
    SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES ACTUALLY
    PAID BY THE SELLER TO SUVU IN THE TWELVE (12) MONTHS BEFORE THE EVENT
    GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

  19. Indemnification
    You agree to defend, indemnify, and hold harmless Suvu and its affiliates, owners, members,
    managers, officers, directors, employees, contractors, agents, licensors, successors, and
    service providers from and against any and all claims, actions, demands, investigations,
    proceedings, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and
    expenses, including reasonable attorneys’ fees, arising out of or related to:






    your account, business, products, services, listings, content, or conduct;
    any sale, shipment, return, refund, dispute, injury, death, property damage, defect, recall,
    regulatory issue, or noncompliance related to your products or services;
    any actual or alleged infringement, misappropriation, or violation of intellectual property,
    proprietary, privacy, publicity, or other rights;
    any taxes, duties, tariffs, fees, or reporting obligations relating to your business or
    transactions;
    your breach of this Seller Agreement or any Suvu policy; or
    your violation of any law or regulation.

  20. Governing Law; Dispute Resolution
    This Seller Agreement is governed by the laws of the State of New Jersey, without regard to
    conflict-of-law principles.
    Any dispute, claim, or controversy arising out of or relating to this Seller Agreement, the
    platform, or the relationship between Suvu and the seller may, at Suvu’s election, be resolved
    either (a) exclusively in the state or federal courts located in New Jersey, or (b) by binding
    arbitration administered in New Jersey under rules selected by Suvu. Seller agrees that Suvu
    may choose the forum in its sole discretion after the dispute arises or as otherwise permitted in
    Suvu’s notice.
    To the maximum extent permitted by law, seller waives any right to participate in a class action,
    class arbitration, representative action, or jury trial against Suvu.

  21. Changes to This Agreement
    Suvu may modify this Seller Agreement, its policies, fees, procedures, product restrictions,
    payout rules, reserve rules, and platform features at any time. Updated terms become effective
    upon posting or upon notice as determined by Suvu. Continued use of Suvu after the effective
    date constitutes acceptance of the updated terms.

  22. General Provisions
    This Seller Agreement, together with any incorporated policies, onboarding materials, fee
    schedules, and additional written agreements, constitutes the entire agreement between you
    and Suvu regarding seller use of the platform. If any provision is found unenforceable, the
    remaining provisions remain in effect. Suvu’s failure to enforce any provision is not a waiver. You
    may not assign this Seller Agreement without Suvu’s prior written consent. Suvu may assign this
    Seller Agreement freely.

Suvu Buyers Terms Of Service Agreement

These Buyer Terms (the “Buyer Terms”) govern the access to and use of Suvu by buyers,

shoppers, sourcing users, business purchasers, individual purchasers, and other non-seller

users (“Buyer,

” “you,

” or “your”).

By creating an account, browsing, requesting quotes, messaging sellers, placing orders, using

marketplace tools, or otherwise using Suvu, you agree to these Buyer Terms.

1. Marketplace Role Only

Suvu operates a marketplace and technology platform. Unless Suvu expressly states otherwise

in writing for a specific transaction, Suvu is not the manufacturer, seller, importer, exporter,

distributor, warehouse, fulfillment provider, carrier, insurer, broker, testing lab, or guarantor of

third-party goods or services.

Products and services offered by third parties are offered by those third parties alone. Suvu

does not take title to third-party goods and is not responsible for product quality, legality, safety,

labeling, certifications, compliance, performance, availability, or fitness for purpose.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use Suvu. If using Suvu

on behalf of a business or entity, you represent that you have authority to bind that entity.

You are responsible for maintaining the confidentiality of your account credentials and for all

activity under your account.

3. Buyer Responsibility; Independent Verification

You are solely responsible for evaluating sellers, products, specifications, samples, quantities,

pricing, lead times, terms, shipping arrangements, insurance, certifications, legal compliance,

and suitability for your intended use.

Suvu does not verify all sellers, products, claims, documents, or certifications and does not

guarantee the identity, legitimacy, reliability, quality, or compliance of any seller or product.4. Orders and Transactions

Orders placed through Suvu or through Suvu-supported flows are transactions between you and

the applicable seller unless Suvu expressly states otherwise in writing.

Sellers are solely responsible for fulfillment, shipment, delivery, packaging, labeling, product

conformity, warranties, returns, and compliance, except where Suvu explicitly states otherwise.

5. Off-Platform Transactions

You may communicate and transact with sellers outside Suvu, including through direct ACH,

wire, check, cash, or other external arrangements. Where you transact outside Suvu or outside

Suvu-supported payment, checkout, order-management, or transaction flows, Suvu is not a

party to the transaction and bears no responsibility whatsoever for payment, nonpayment,

fraud, chargebacks, taxes, shipment, loss, damage, delays, warranties, defects, personal injury,

property damage, compliance, intellectual property issues, or disputes of any kind.

Any off-platform transaction is deemed a direct private business arrangement solely between

you and the seller, exactly as if you and the seller had found each other and done business

entirely on your own without Suvu. Even if you first met, communicated, were introduced,

negotiated, or exchanged information through Suvu, once you transact outside Suvu-supported

6. Payments; Refunds; Holds; Disputes

Where payment functionality is made available through Suvu or through Suvu-connected

payment flows, Suvu may in its sole discretion place holds, delay releases, reverse credits,

issue refunds, deny claims, investigate fraud, request documentation, and make final

determinations regarding disputes or platform-related claims.

Unless otherwise required by law or expressly stated by Suvu, no return is permitted without

seller approval. Notwithstanding the foregoing, Suvu may in its sole discretion force refunds,

deny refunds, or otherwise resolve disputes as it deems appropriate.

7. Taxes

Where required or permitted by law, Suvu may calculate, collect, display, estimate, withhold, or

remit taxes on transactions processed through the platform. Buyers remain responsible for any

taxes, duties, tariffs, customs charges, and governmental fees applicable to their purchases,

particularly where not collected by Suvu.8. Shipping; Loss; Damage

Sellers and applicable carriers are solely responsible for shipping, transit, delivery performance,

customs clearance, lost packages, damaged goods, delays, and related claims. Suvu is not

responsible for those matters.

9. Product Safety; Regulatory Matters

Buyers are responsible for determining whether products are suitable, lawful, and compliant for

their intended use, destination, industry, and jurisdiction. Buyers must independently evaluate

specifications, warnings, instructions, and applicable regulatory requirements.

10. Intellectual Property and Use Restrictions

You may not use Suvu to violate intellectual property rights, misappropriate confidential

information, reverse engineer restricted materials, scrape protected data, or engage in

counterfeit, deceptive, or unlawful conduct.

11. Data Rights; Platform Use

By using Suvu, you grant Suvu the right to collect, store, analyze, use, reproduce,

commercialize, license, benchmark, aggregate, and otherwise exploit account information,

activity data, communications, transaction data, uploaded content, and related materials to the

maximum extent permitted by law and as described in Suvu’s Privacy Policy.

12. Suspension; Termination

Suvu may suspend, restrict, or terminate your account or access at any time, with or without

notice, for any reason or no reason, including risk, fraud, policy, legal, operational, reputational,

or business reasons.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.

” TO THE MAXIMUM EXTENT

PERMITTED BY LAW, SUVU DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER

EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,

NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

Suvu does not guarantee seller legitimacy, payment outcomes, shipping outcomes, product

quality, product legality, tax treatment, or freedom from infringement.14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU AND ITS AFFILIATES, OWNERS,

MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS,

AGENTS, LICENSORS, SUCCESSORS, AND SERVICE PROVIDERS SHALL NOT BE

LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY,

PUNITIVE, OR LOST PROFITS DAMAGES, OR ANY LOSS OF DATA, BUSINESS, REVENUE,

REPUTATION, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO SUVU,

THE PLATFORM, ANY LISTING, ANY ORDER, ANY SHIPMENT, ANY PRODUCT, ANY

OFF-PLATFORM TRANSACTION, ANY USER DISPUTE, OR THESE BUYER TERMS, EVEN

IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU’S TOTAL AGGREGATE LIABILITY

ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE BUYER TERMS SHALL

NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY

YOU TO SUVU IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE

CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

15. Indemnification

You agree to defend, indemnify, and hold harmless Suvu and its affiliates, owners, members,

managers, officers, directors, employees, contractors, agents, licensors, successors, and

service providers from and against any and all claims, actions, demands, investigations,

proceedings, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and

expenses, including reasonable attorneys’ fees, arising out of or related to your account,

conduct, purchases, communications, disputes, legal violations, or breach of these Buyer

Terms.

16. Governing Law; Dispute Resolution

These Buyer Terms are governed by the laws of the State of New Jersey, without regard to

conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Buyer Terms, the platform,

or the relationship between Suvu and the buyer may, at Suvu’s election, be resolved either (a)

exclusively in the state or federal courts located in New Jersey, or (b) by binding arbitration

administered in New Jersey under rules selected by Suvu. Buyer agrees that Suvu may choose

the forum in its sole discretion after the dispute arises or as otherwise permitted in Suvu’s

notice.

To the maximum extent permitted by law, buyer waives any right to participate in a class action,

class arbitration, representative action, or jury trial against Suvu.17. Changes to These Terms

Suvu may modify these Buyer Terms, its policies, fees, procedures, dispute processes, product

restrictions, and platform features at any time. Updated terms become effective upon posting or

upon notice as determined by Suvu. Continued use of Suvu after the effective date constitutes

acceptance of the updated terms.

18. General Provisions

These Buyer Terms, together with any incorporated policies and additional written agreements,

constitute the entire agreement between you and Suvu regarding buyer use of the platform. If

any provision is found unenforceable, the remaining provisions remain in effect. Suvu’s failure to

enforce any provision is not a waiver. You may not assign these Buyer Terms without Suvu’s

prior written consent. Suvu may assign these Buyer Terms freely.

This Seller Agreement (the “Seller Agreement”) is a binding agreement between Suvu LLC
(“Suvu,” “we,” “us,” or “our”) and the individual or entity registering for, accessing, or using Suvu as a seller, manufacturer, supplier, distributor, service provider, or other commercial participant (“Seller,” “you,” or “your”).
By registering for a seller account, listing products or services, using seller tools, accepting orders or inquiries, communicating with buyers through the platform, using any payment or shipping-related functionality, or otherwise using Suvu’s marketplace tools, you agree to this Seller Agreement.


  1. Marketplace Role Only

    Suvu operates an online marketplace and technology platform that allows users to connect, communicate, list, quote, market, buy, sell, invoice, and transact. Suvu is not the manufacturer, importer, exporter, distributor, broker, fulfillment provider, insurer, warehouse provider, testing laboratory, carrier, or seller of third-party goods unless Suvu expressly states otherwise in a separate written agreement.

    Sellers, buyers, and other users transact with each other at their own risk. Suvu does not take title to third-party goods, and Suvu is not responsible for product quality, safety, legality, labeling, certifications, delivery, performance, or fitness for use.


  2. Seller Eligibility and Authority


    You represent and warrant that:
    ● you are at least 18 years old;
    ● you have the legal authority to enter into this Seller Agreement;
    ● if acting for a business, you have authority to bind that business;
    ● all information you provide is accurate, current, and complete; and
    ● you will keep your account information updated at all times.

    You are responsible for all activity under your account, including the acts of employees, contractors, agents, affiliates, and anyone else accessing your account or acting on your behalf.


  3. Seller Responsibilities


    You are solely responsible for:
    ● your products, services, listings, offers, quotes, images, videos, specifications,
    descriptions, manuals, warnings, labels, certifications, compliance statements, pricing, minimum order quantities, inventory, and lead times;
    ● minimum order quantities, inventory, and lead times;
    ● ensuring your products and services are lawful, safe, non-defective, properly labeled, and compliant with all applicable laws, regulations, standards, and industry requirements;
    ● the manufacture, sourcing, storage, import/export status, customs compliance, packaging, shipment, delivery, and post-sale support of your products;
    ● obtaining and maintaining all permits, licenses, registrations, certifications, approvals, and insurance required for your business and products;
    ● all taxes, duties, tariffs, fees, returns, recalls, notices, and reporting obligations arising from your sales and operations, except only to the extent Suvu is expressly required by law to collect, withhold, remit, or report a specific tax or amount; and
    ● verifying the legitimacy, creditworthiness, and suitability of counterparties.


  4. Listings and Offers
    You are solely responsible for all listings, offers, quotes, invoices, proposals, media, data, specifications, and product information you post, upload, transmit, or make available through Suvu.

    You may not list any product or service that is illegal, unsafe, counterfeit, recalled, infringing, misleadingly described, prohibited by law, or restricted by Suvu policy. Suvu may remove, suppress, edit, reject, or restrict any listing or content at any time for any reason, including risk,
    safety, legal, operational, policy, business, or quality concerns.


  5. Eligible and Restricted Products

    Only lawful and eligible products and services may be listed on Suvu. Without limiting Suvu’s enforcement rights, prohibited or restricted categories may include products or services that are illegal, regulated without proper authorization, unsafe, recalled, hazardous, counterfeit, infringing, stolen, misleading, deceptive, offensive, or otherwise create legal, payment,
    insurance, trust, reputational, or operational risk.


    Suvu may define, revise, expand, or narrow its list of eligible, prohibited, or restricted products and services at any time, in its sole discretion, with or without prior notice.


  6. Orders, Transactions, and Off-Platform Dealings


    Sellers and buyers may communicate and transact through Suvu or by other means, including direct ACH, wire, check, cash, or other external payment or contracting arrangements. Where users transact outside Suvu or outside Suvu-supported payment, checkout, order-management, or transaction flows, Suvu is not a party to the transaction and bears no responsibility whatsoever for payment, nonpayment, fraud, chargebacks, taxes, compliance, shipment, loss,
    damage, product defects, delays, warranties, refunds, returns, personal injury, property damage, intellectual property claims, regulatory issues, or disputes of any kind.


    Any off-platform transaction is deemed a direct private business arrangement solely between the users involved, exactly as if those users had found each other and done business entirely on their own without Suvu. Even if the parties first met, communicated, were introduced, negotiated, or exchanged information through Suvu, once they transact outside Suvu-supported
    payment or transaction flows, they do so entirely at their own risk and Suvu has zero liability or responsibility relating to that transaction or relationship.

    Even where Suvu provides marketplace tools, messaging, invoicing, order workflows, or integrated payment options, Suvu does not become the seller, buyer, shipper, carrier, guarantor, insurer, or agent of either party.

    Suvu currently permits users to transact outside the platform. Suvu reserves the right, at any time and in its sole discretion, to adopt future policies restricting off-platform transactions, imposing additional marketplace fees, prohibiting fee avoidance or circumvention, or requiring certain transactions to remain on-platform, with notice as determined by Suvu.


  7. Payments; Holds; Reserves; Offsets


    Sellers may choose to use third-party payment processors supported or connected through Suvu, where available, or may transact directly with buyers outside Suvu. Any use of a third-party payment processor is subject to the processor’s own terms, underwriting, reserves, compliance requirements, payout controls, and policies.

    For transactions processed through or facilitated by Suvu or a Suvu-connected payment flow, Suvu may, in its sole discretion and for any reason, place holds, establish reserves, delay payouts, suspend withdrawals, offset amounts owed, reverse credits, deduct fees, deduct refunds, deduct chargebacks, deduct shipping adjustments, deduct penalties, and otherwise retain, freeze, or apply funds.

    Unless Suvu states otherwise in writing, seller payouts may be delayed for up to sixty (60) days after payment, order placement, shipment, delivery, dispute resolution, or any other event determined by Suvu, and may be held longer where Suvu believes doing so is necessary or advisable for fraud prevention, compliance, dispute handling, product safety, legal risk, processor requirements, reserve management, customer protection, or any other business reason. Suvu may hold money for as long as Suvu deems necessary in its sole discretion to protect Suvu, buyers, payment partners, or other users.

    Sellers have no right to immediate payout, and Suvu may condition payout on any verification, investigation, documentation, or risk review it deems necessary.


  8. Refunds, Returns, Disputes, and Final Determination
    Unless otherwise required by law or expressly stated by Suvu in writing, no return is permitted
    without seller approval. Sellers may approve or deny return requests in their discretion.
    Notwithstanding the above, Suvu reserves the unrestricted right, in its sole discretion, to
    investigate disputes, require evidence, freeze funds, reverse transactions, issue credits, force
    refunds, deny claims, approve claims, reallocate funds, or impose other resolutions it deems
    appropriate. Suvu’s determination on platform-related disputes may be final and binding within
    the platform environment.
    Sellers agree that Suvu may issue full or partial refunds to buyers, with or without seller
    approval, and may deduct or recover those amounts from current or future payouts, reserves,
    accounts, or any amounts otherwise owed to the seller.

  9. Taxes
    Sellers are solely responsible for all taxes, duties, tariffs, government fees, reporting obligations,
    and compliance arising from their business, products, listings, sales, shipments, and operations,
    including sales tax, use tax, excise taxes, VAT, GST, customs duties, import/export charges,
    withholding obligations, and income taxes, except only where Suvu is expressly required by law
    to collect, withhold, remit, or report a particular tax or amount.
    Where Suvu processes or facilitates a transaction through the platform, Suvu may calculate,
    collect, display, estimate, withhold, remit, or report taxes where Suvu determines it is required,
    permitted, or advisable to do so by law, regulation, processor policy, marketplace facilitator
    rules, or operational necessity. Any tax calculation, collection, display, remittance, or handling by
    Suvu does not shift overall tax responsibility away from the seller except to the limited extent
    non-waivable law clearly places a specific obligation on Suvu.
    Sellers remain fully responsible for the accuracy of all tax information they provide, including
    nexus status, taxability, exemption treatment, business classification, resale documentation, and
    product tax characterization. Suvu may rely on seller-supplied information without independent
    verification and is not liable for errors, omissions, under-collection, over-collection, or failures
    resulting from seller data, government changes, system limitations, or third-party tax tools.

  10. Shipping; Delivery; Loss; Damage
    Suvu is not responsible for shipping, transit, delivery performance, customs clearance, lost
    packages, damaged goods, delays, carrier conduct, or claims arising from shipment. The seller
    and the applicable shipping provider, carrier, freight company, broker, or logistics party are solely
    responsible for those matters.
    Any shipping labels, rates, software integrations, estimates, or logistics tools made available by
    Suvu are provided as a convenience only and do not create liability or responsibility for Suvu.

  11. Insurance Requirement
    Sellers must maintain all insurance reasonably appropriate for their business and risk profile,
    including commercial general liability and product liability insurance, and any other coverage
    required by law, payment partners, carriers, or Suvu. Suvu may require minimum policy limits,
    specific coverages, proof of insurance, certificates of insurance, policy endorsements, or
    evidence naming Suvu as an additional insured.
    Failure to maintain or provide required insurance may result in suspension, listing removal,
    payout holds, or termination.

  12. Product Safety; Recalls; Compliance
    You represent and warrant that all products and services you list or provide are lawful, safe,
    non-defective, properly tested where required, properly labeled, and compliant with all
    applicable laws and industry standards.
    You must immediately notify Suvu of any product safety issue, injury allegation, defect,
    nonconformity, regulatory inquiry, stop-sale, seizure, warning, recall, or market withdrawal
    involving your products or services. Suvu may remove listings, notify users, freeze funds, share
    relevant information with authorities or affected parties, and require corrective action at your
    expense.

  13. Intellectual Property; Patents; Trademarks;
    Copyrights
    You represent, warrant, and covenant that you own or control, or have all necessary rights,
    licenses, permissions, and authority for, all products, services, content, branding, names, logos,
    text, images, videos, CAD files, specifications, packaging, designs, technology, and other
    materials you post, list, upload, transmit, sell, or otherwise make available through Suvu.
    You further represent, warrant, and covenant that none of your products, services, listings,
    content, or activities infringes, misappropriates, dilutes, violates, or otherwise conflicts with any
    patent, patent application, trademark, trade dress, copyright, trade secret, moral right, publicity
    right, privacy right, contract right, or other intellectual property or proprietary right of any person
    or entity.
    You are solely responsible for all clearance, rights analysis, freedom-to-operate analysis,
    licensing, patent review, trademark review, copyright review, chain of title, and infringement risk
    for your products and content.
    Suvu may, at any time and in its sole discretion, remove, disable, suppress, de-index, or restrict
    listings or content, suspend accounts, freeze payouts, retain reserves, or disclose information in
    response to any actual or suspected intellectual property complaint, counterfeit allegation,
    unauthorized resale allegation, design-right allegation, or infringement concern. Suvu may do so
    before, during, or after investigation, and without liability to you.

  14. License to Suvu; Data Rights; Content Rights
    You grant Suvu and its affiliates, successors, assigns, partners, service providers, and
    sublicensees a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up,
    transferable, sublicensable license to host, store, reproduce, adapt, modify, format, translate,
    publish, distribute, transmit, display, perform, use, copy, index, analyze, process, create
    derivative works from, commercialize, market, train systems on, and otherwise exploit any
    content, data, listings, images, videos, product information, specifications, descriptions,
    communications, usage data, transactional information, metadata, and other materials you
    submit to, upload to, generate on, or make available through Suvu.
    To the maximum extent permitted by law, Suvu may use, reuse, repurpose, display, distribute,
    commercialize, license, sell, share, analyze, benchmark, aggregate, and otherwise exploit such
    information and materials for any business, commercial, operational, security, product, analytics,
    research, training, marketing, or development purpose, in identified, de-identified, anonymized,
    pseudonymized, aggregated, or other form, subject only to Suvu’s Privacy Policy and applicable
    law.
    You represent and warrant that you have all necessary rights and permissions to grant the
    foregoing rights.

  15. Account Verification; Information Requests;
    Monitoring
    Suvu may at any time require identity verification, business verification, beneficial ownership
    information, tax forms, formation documents, licenses, permits, certifications, insurance
    documents, invoices, supply chain records, banking information, product documents, test
    reports, compliance records, shipping records, or any other documentation or information Suvu
    deems necessary or advisable.
    Suvu may monitor accounts, listings, messages, orders, metadata, device signals, user activity,
    transaction patterns, and related information for fraud prevention, compliance, safety, platform
    integrity, risk management, dispute handling, legal protection, analytics, service improvement,
    and enforcement.
    Failure to provide requested information to Suvu’s satisfaction may result in application denial,
    account restriction, listing suppression, payout holds, reserve requirements, suspension,
    termination, legal escalation, or any other action Suvu deems appropriate.

  16. Suspension; Termination; Enforcement
    Suvu may suspend, restrict, freeze, hold, deactivate, de-index, remove, terminate, or otherwise
    limit any seller account, listing, payout, reserve, communication channel, integration, or feature
    at any time, with or without notice, for any reason or no reason, including risk, fraud,
    compliance, policy, legal, operational, reputational, safety, insurance, processor, tax, or business
    reasons.
    Suvu has no obligation to continue offering the platform or any seller access to it.

  17. Disclaimers
    THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.
    ” TO THE MAXIMUM EXTENT
    PERMITTED BY LAW, SUVU DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER
    EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF
    MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
    NON-INFRINGEMENT, SYSTEM INTEGRATION, QUIET ENJOYMENT, ACCURACY,
    AVAILABILITY, AND SECURITY.
    Suvu does not warrant or guarantee buyer legitimacy, seller legitimacy, payment completion,
    sales volume, product quality, shipping outcomes, tax treatment, regulatory compliance,
    marketability, or freedom from infringement.

  18. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU AND ITS AFFILIATES, OWNERS,
    MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS,
    AGENTS, LICENSORS, SUCCESSORS, AND SERVICE PROVIDERS SHALL NOT BE
    LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY,
    PUNITIVE, OR LOST PROFITS DAMAGES, OR ANY LOSS OF DATA, BUSINESS, REVENUE,
    REPUTATION, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO SUVU,
    THE PLATFORM, ANY LISTING, ANY ORDER, ANY SHIPMENT, ANY PRODUCT, ANY
    OFF-PLATFORM TRANSACTION, ANY USER DISPUTE, OR THIS SELLER AGREEMENT,
    EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU’S TOTAL AGGREGATE LIABILITY
    ARISING OUT OF OR RELATING TO THE PLATFORM OR THIS SELLER AGREEMENT
    SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES ACTUALLY
    PAID BY THE SELLER TO SUVU IN THE TWELVE (12) MONTHS BEFORE THE EVENT

  19. Indemnification
    You agree to defend, indemnify, and hold harmless Suvu and its affiliates, owners, members,
    managers, officers, directors, employees, contractors, agents, licensors, successors, and
    service providers from and against any and all claims, actions, demands, investigations,
    proceedings, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and
    expenses, including reasonable attorneys’ fees, arising out of or related to:






    your account, business, products, services, listings, content, or conduct;
    any sale, shipment, return, refund, dispute, injury, death, property damage, defect, recall,
    regulatory issue, or noncompliance related to your products or services;
    any actual or alleged infringement, misappropriation, or violation of intellectual property,
    proprietary, privacy, publicity, or other rights;
    any taxes, duties, tariffs, fees, or reporting obligations relating to your business or
    transactions;
    your breach of this Seller Agreement or any Suvu policy; or
    your violation of any law or regulation.

These Buyer Terms (the “Buyer Terms”) govern the access to and use of Suvu by buyers,

shoppers, sourcing users, business purchasers, individual purchasers, and other non-seller

users (“Buyer,

” “you,

” or “your”).

By creating an account, browsing, requesting quotes, messaging sellers, placing orders, using

marketplace tools, or otherwise using Suvu, you agree to these Buyer Terms.

1. Marketplace Role Only

Suvu operates a marketplace and technology platform. Unless Suvu expressly states otherwise

in writing for a specific transaction, Suvu is not the manufacturer, seller, importer, exporter,

distributor, warehouse, fulfillment provider, carrier, insurer, broker, testing lab, or guarantor of

third-party goods or services.

Products and services offered by third parties are offered by those third parties alone. Suvu

does not take title to third-party goods and is not responsible for product quality, legality, safety,

labeling, certifications, compliance, performance, availability, or fitness for purpose.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use Suvu. If using Suvu

on behalf of a business or entity, you represent that you have authority to bind that entity.

You are responsible for maintaining the confidentiality of your account credentials and for all

activity under your account.

3. Buyer Responsibility; Independent Verification

You are solely responsible for evaluating sellers, products, specifications, samples, quantities,

pricing, lead times, terms, shipping arrangements, insurance, certifications, legal compliance,

and suitability for your intended use.

Suvu does not verify all sellers, products, claims, documents, or certifications and does not

guarantee the identity, legitimacy, reliability, quality, or compliance of any seller or product.4. Orders and Transactions

Orders placed through Suvu or through Suvu-supported flows are transactions between you and

the applicable seller unless Suvu expressly states otherwise in writing.

Sellers are solely responsible for fulfillment, shipment, delivery, packaging, labeling, product

conformity, warranties, returns, and compliance, except where Suvu explicitly states otherwise.

5. Off-Platform Transactions

You may communicate and transact with sellers outside Suvu, including through direct ACH,

wire, check, cash, or other external arrangements. Where you transact outside Suvu or outside

Suvu-supported payment, checkout, order-management, or transaction flows, Suvu is not a

party to the transaction and bears no responsibility whatsoever for payment, nonpayment,

fraud, chargebacks, taxes, shipment, loss, damage, delays, warranties, defects, personal injury,

property damage, compliance, intellectual property issues, or disputes of any kind.

Any off-platform transaction is deemed a direct private business arrangement solely between

you and the seller, exactly as if you and the seller had found each other and done business

6. Payments; Refunds; Holds; Disputes

Where payment functionality is made available through Suvu or through Suvu-connected

payment flows, Suvu may in its sole discretion place holds, delay releases, reverse credits,

issue refunds, deny claims, investigate fraud, request documentation, and make final

determinations regarding disputes or platform-related claims.

Unless otherwise required by law or expressly stated by Suvu, no return is permitted without

seller approval. Notwithstanding the foregoing, Suvu may in its sole discretion force refunds,

deny refunds, or otherwise resolve disputes as it deems appropriate.

7. Taxes

Where required or permitted by law, Suvu may calculate, collect, display, estimate, withhold, or

remit taxes on transactions processed through the platform. Buyers remain responsible for any

taxes, duties, tariffs, customs charges, and governmental fees applicable to their purchases,

particularly where not collected by Suvu.8. Shipping; Loss; Damage

Sellers and applicable carriers are solely responsible for shipping, transit, delivery performance,

customs clearance, lost packages, damaged goods, delays, and related claims. Suvu is not

responsible for those matters.

9. Product Safety; Regulatory Matters

Buyers are responsible for determining whether products are suitable, lawful, and compliant for

their intended use, destination, industry, and jurisdiction. Buyers must independently evaluate

specifications, warnings, instructions, and applicable regulatory requirements.

10. Intellectual Property and Use Restrictions

You may not use Suvu to violate intellectual property rights, misappropriate confidential

information, reverse engineer restricted materials, scrape protected data, or engage in

counterfeit, deceptive, or unlawful conduct.

11. Data Rights; Platform Use

By using Suvu, you grant Suvu the right to collect, store, analyze, use, reproduce,

commercialize, license, benchmark, aggregate, and otherwise exploit account information,

activity data, communications, transaction data, uploaded content, and related materials to the

maximum extent permitted by law and as described in Suvu’s Privacy Policy.

12. Suspension; Termination

Suvu may suspend, restrict, or terminate your account or access at any time, with or without

notice, for any reason or no reason, including risk, fraud, policy, legal, operational, reputational,

or business reasons.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.

” TO THE MAXIMUM EXTENT

PERMITTED BY LAW, SUVU DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER

EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,

NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

Suvu does not guarantee seller legitimacy, payment outcomes, shipping outcomes, product

quality, product legality, tax treatment, or freedom from infringement.14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU AND ITS AFFILIATES, OWNERS,

MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS,

AGENTS, LICENSORS, SUCCESSORS, AND SERVICE PROVIDERS SHALL NOT BE

LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY,

PUNITIVE, OR LOST PROFITS DAMAGES, OR ANY LOSS OF DATA, BUSINESS, REVENUE,

REPUTATION, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO SUVU,

THE PLATFORM, ANY LISTING, ANY ORDER, ANY SHIPMENT, ANY PRODUCT, ANY

OFF-PLATFORM TRANSACTION, ANY USER DISPUTE, OR THESE BUYER TERMS, EVEN

IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU’S TOTAL AGGREGATE LIABILITY

ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE BUYER TERMS SHALL

NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY

YOU TO SUVU IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE

CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

15. Indemnification

You agree to defend, indemnify, and hold harmless Suvu and its affiliates, owners, members,

managers, officers, directors, employees, contractors, agents, licensors, successors, and

service providers from and against any and all claims, actions, demands, investigations,

proceedings, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and

expenses, including reasonable attorneys’ fees, arising out of or related to your account,

conduct, purchases, communications, disputes, legal violations, or breach of these Buyer

Terms.

16. Governing Law; Dispute Resolution

These Buyer Terms are governed by the laws of the State of New Jersey, without regard to

conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Buyer Terms, the platform,

or the relationship between Suvu and the buyer may, at Suvu’s election, be resolved either (a)

exclusively in the state or federal courts located in New Jersey, or (b) by binding arbitration

administered in New Jersey under rules selected by Suvu. Buyer agrees that Suvu may choose

the forum in its sole discretion after the dispute arises or as otherwise permitted in Suvu’s

notice.

To the maximum extent permitted by law, buyer waives any right to participate in a class action,

class arbitration, representative action, or jury trial against Suvu.17. Changes to These Terms

Suvu may modify these Buyer Terms, its policies, fees, procedures, dispute processes, product

restrictions, and platform features at any time. Updated terms become effective upon posting or

upon notice as determined by Suvu. Continued use of Suvu after the effective date constitutes

acceptance of the updated terms.

18. General Provisions

These Buyer Terms, together with any incorporated policies and additional written agreements,

constitute the entire agreement between you and Suvu regarding buyer use of the platform. If

any provision is found unenforceable, the remaining provisions remain in effect. Suvu’s failure to

enforce any provision is not a waiver. You may not assign these Buyer Terms without Suvu’s

prior written consent. Suvu may assign these Buyer Terms freely.

This Seller Agreement (the “Seller Agreement”) is a binding agreement between Suvu LLC
(“Suvu,” “we,” “us,” or “our”) and the individual or entity registering for, accessing, or using Suvu as a seller, manufacturer, supplier, distributor, service provider, or other commercial participant (“Seller,” “you,” or “your”).
By registering for a seller account, listing products or services, using seller tools, accepting orders or inquiries, communicating with buyers through the platform, using any payment or shipping-related functionality, or otherwise using Suvu’s marketplace tools, you agree to this Seller Agreement.


  1. Marketplace Role Only

    Suvu operates an online marketplace and technology platform that allows users to connect, communicate, list, quote, market, buy, sell, invoice, and transact. Suvu is not the manufacturer, importer, exporter, distributor, broker, fulfillment provider, insurer, warehouse provider, testing laboratory, carrier, or seller of third-party goods unless Suvu expressly states otherwise in a separate written agreement.

    Sellers, buyers, and other users transact with each other at their own risk. Suvu does not take title to third-party goods, and Suvu is not responsible for product quality, safety, legality, labeling, certifications, delivery, performance, or fitness for use.


  2. Seller Eligibility and Authority


    You represent and warrant that:
    ● you are at least 18 years old;
    ● you have the legal authority to enter into this Seller Agreement;
    ● if acting for a business, you have authority to bind that business;
    ● all information you provide is accurate, current, and complete; and
    ● you will keep your account information updated at all times.

    You are responsible for all activity under your account, including the acts of employees, contractors, agents, affiliates, and anyone else accessing your account or acting on your behalf.


  3. Seller Responsibilities


    You are solely responsible for:
    ● your products, services, listings, offers, quotes, images, videos, specifications,
    descriptions, manuals, warnings, labels, certifications, compliance statements, pricing, minimum order quantities, inventory, and lead times;
    ● minimum order quantities, inventory, and lead times;
    ● ensuring your products and services are lawful, safe, non-defective, properly labeled, and compliant with all applicable laws, regulations, standards, and industry requirements;
    ● the manufacture, sourcing, storage, import/export status, customs compliance, packaging, shipment, delivery, and post-sale support of your products;
    ● obtaining and maintaining all permits, licenses, registrations, certifications, approvals, and insurance required for your business and products;
    ● all taxes, duties, tariffs, fees, returns, recalls, notices, and reporting obligations arising from your sales and operations, except only to the extent Suvu is expressly required by law to collect, withhold, remit, or report a specific tax or amount; and
    ● verifying the legitimacy, creditworthiness, and suitability of counterparties.


  4. Listings and Offers
    You are solely responsible for all listings, offers, quotes, invoices, proposals, media, data, specifications, and product information you post, upload, transmit, or make available through Suvu.

    You may not list any product or service that is illegal, unsafe, counterfeit, recalled, infringing, misleadingly described, prohibited by law, or restricted by Suvu policy. Suvu may remove, suppress, edit, reject, or restrict any listing or content at any time for any reason, including risk,
    safety, legal, operational, policy, business, or quality concerns.


  5. Eligible and Restricted Products

    Only lawful and eligible products and services may be listed on Suvu. Without limiting Suvu’s enforcement rights, prohibited or restricted categories may include products or services that are illegal, regulated without proper authorization, unsafe, recalled, hazardous, counterfeit, infringing, stolen, misleading, deceptive, offensive, or otherwise create legal, payment,
    insurance, trust, reputational, or operational risk.


    Suvu may define, revise, expand, or narrow its list of eligible, prohibited, or restricted products and services at any time, in its sole discretion, with or without prior notice.


  6. Orders, Transactions, and Off-Platform Dealings


    Sellers and buyers may communicate and transact through Suvu or by other means, including direct ACH, wire, check, cash, or other external payment or contracting arrangements. Where users transact outside Suvu or outside Suvu-supported payment, checkout, order-management, or transaction flows, Suvu is not a party to the transaction and bears no responsibility whatsoever for payment, nonpayment, fraud, chargebacks, taxes, compliance, shipment, loss,
    damage, product defects, delays, warranties, refunds, returns, personal injury, property damage, intellectual property claims, regulatory issues, or disputes of any kind.


    Any off-platform transaction is deemed a direct private business arrangement solely between the users involved, exactly as if those users had found each other and done business entirely on their own without Suvu. Even if the parties first met, communicated, were introduced, negotiated, or exchanged information through Suvu, once they transact outside Suvu-supported
    payment or transaction flows, they do so entirely at their own risk and Suvu has zero liability or responsibility relating to that transaction or relationship.

    Even where Suvu provides marketplace tools, messaging, invoicing, order workflows, or integrated payment options, Suvu does not become the seller, buyer, shipper, carrier, guarantor, insurer, or agent of either party.

    Suvu currently permits users to transact outside the platform. Suvu reserves the right, at any time and in its sole discretion, to adopt future policies restricting off-platform transactions, imposing additional marketplace fees, prohibiting fee avoidance or circumvention, or requiring certain transactions to remain on-platform, with notice as determined by Suvu.


  7. Payments; Holds; Reserves; Offsets


    Sellers may choose to use third-party payment processors supported or connected through Suvu, where available, or may transact directly with buyers outside Suvu. Any use of a third-party payment processor is subject to the processor’s own terms, underwriting, reserves, compliance requirements, payout controls, and policies.

    For transactions processed through or facilitated by Suvu or a Suvu-connected payment flow, Suvu may, in its sole discretion and for any reason, place holds, establish reserves, delay payouts, suspend withdrawals, offset amounts owed, reverse credits, deduct fees, deduct refunds, deduct chargebacks, deduct shipping adjustments, deduct penalties, and otherwise retain, freeze, or apply funds.

    Unless Suvu states otherwise in writing, seller payouts may be delayed for up to sixty (60) days after payment, order placement, shipment, delivery, dispute resolution, or any other event determined by Suvu, and may be held longer where Suvu believes doing so is necessary or advisable for fraud prevention, compliance, dispute handling, product safety, legal risk, processor requirements, reserve management, customer protection, or any other business reason. Suvu may hold money for as long as Suvu deems necessary in its sole discretion to protect Suvu, buyers, payment partners, or other users.

    Sellers have no right to immediate payout, and Suvu may condition payout on any verification, investigation, documentation, or risk review it deems necessary.


  8. Refunds, Returns, Disputes, and Final Determination
    Unless otherwise required by law or expressly stated by Suvu in writing, no return is permitted
    without seller approval. Sellers may approve or deny return requests in their discretion.
    Notwithstanding the above, Suvu reserves the unrestricted right, in its sole discretion, to
    investigate disputes, require evidence, freeze funds, reverse transactions, issue credits, force
    refunds, deny claims, approve claims, reallocate funds, or impose other resolutions it deems
    appropriate. Suvu’s determination on platform-related disputes may be final and binding within
    the platform environment.
    Sellers agree that Suvu may issue full or partial refunds to buyers, with or without seller
    approval, and may deduct or recover those amounts from current or future payouts, reserves,
    accounts, or any amounts otherwise owed to the seller.

  9. Taxes
    Sellers are solely responsible for all taxes, duties, tariffs, government fees, reporting obligations,
    and compliance arising from their business, products, listings, sales, shipments, and operations,
    including sales tax, use tax, excise taxes, VAT, GST, customs duties, import/export charges,
    withholding obligations, and income taxes, except only where Suvu is expressly required by law
    to collect, withhold, remit, or report a particular tax or amount.
    Where Suvu processes or facilitates a transaction through the platform, Suvu may calculate,
    collect, display, estimate, withhold, remit, or report taxes where Suvu determines it is required,
    permitted, or advisable to do so by law, regulation, processor policy, marketplace facilitator
    rules, or operational necessity. Any tax calculation, collection, display, remittance, or handling by
    Suvu does not shift overall tax responsibility away from the seller except to the limited extent
    non-waivable law clearly places a specific obligation on Suvu.
    Sellers remain fully responsible for the accuracy of all tax information they provide, including
    nexus status, taxability, exemption treatment, business classification, resale documentation, and
    product tax characterization. Suvu may rely on seller-supplied information without independent
    verification and is not liable for errors, omissions, under-collection, over-collection, or failures
    resulting from seller data, government changes, system limitations, or third-party tax tools.

  10. Shipping; Delivery; Loss; Damage
    Suvu is not responsible for shipping, transit, delivery performance, customs clearance, lost
    packages, damaged goods, delays, carrier conduct, or claims arising from shipment. The seller
    and the applicable shipping provider, carrier, freight company, broker, or logistics party are solely
    responsible for those matters.
    Any shipping labels, rates, software integrations, estimates, or logistics tools made available by
    Suvu are provided as a convenience only and do not create liability or responsibility for Suvu.

  11. Insurance Requirement
    Sellers must maintain all insurance reasonably appropriate for their business and risk profile,
    including commercial general liability and product liability insurance, and any other coverage
    required by law, payment partners, carriers, or Suvu. Suvu may require minimum policy limits,
    specific coverages, proof of insurance, certificates of insurance, policy endorsements, or
    evidence naming Suvu as an additional insured.
    Failure to maintain or provide required insurance may result in suspension, listing removal,
    payout holds, or termination.

  12. Product Safety; Recalls; Compliance
    You represent and warrant that all products and services you list or provide are lawful, safe,
    non-defective, properly tested where required, properly labeled, and compliant with all
    applicable laws and industry standards.
    You must immediately notify Suvu of any product safety issue, injury allegation, defect,
    nonconformity, regulatory inquiry, stop-sale, seizure, warning, recall, or market withdrawal
    involving your products or services. Suvu may remove listings, notify users, freeze funds, share
    relevant information with authorities or affected parties, and require corrective action at your
    expense.

  13. Intellectual Property; Patents; Trademarks;
    Copyrights
    You represent, warrant, and covenant that you own or control, or have all necessary rights,
    licenses, permissions, and authority for, all products, services, content, branding, names, logos,
    text, images, videos, CAD files, specifications, packaging, designs, technology, and other
    materials you post, list, upload, transmit, sell, or otherwise make available through Suvu.
    You further represent, warrant, and covenant that none of your products, services, listings,
    content, or activities infringes, misappropriates, dilutes, violates, or otherwise conflicts with any
    patent, patent application, trademark, trade dress, copyright, trade secret, moral right, publicity
    right, privacy right, contract right, or other intellectual property or proprietary right of any person
    or entity.
    You are solely responsible for all clearance, rights analysis, freedom-to-operate analysis,
    licensing, patent review, trademark review, copyright review, chain of title, and infringement risk
    for your products and content.
    Suvu may, at any time and in its sole discretion, remove, disable, suppress, de-index, or restrict
    listings or content, suspend accounts, freeze payouts, retain reserves, or disclose information in
    response to any actual or suspected intellectual property complaint, counterfeit allegation,
    unauthorized resale allegation, design-right allegation, or infringement concern. Suvu may do so
    before, during, or after investigation, and without liability to you.

  14. License to Suvu; Data Rights; Content Rights
    You grant Suvu and its affiliates, successors, assigns, partners, service providers, and
    sublicensees a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up,
    transferable, sublicensable license to host, store, reproduce, adapt, modify, format, translate,
    publish, distribute, transmit, display, perform, use, copy, index, analyze, process, create
    derivative works from, commercialize, market, train systems on, and otherwise exploit any
    content, data, listings, images, videos, product information, specifications, descriptions,
    communications, usage data, transactional information, metadata, and other materials you
    submit to, upload to, generate on, or make available through Suvu.
    To the maximum extent permitted by law, Suvu may use, reuse, repurpose, display, distribute,
    commercialize, license, sell, share, analyze, benchmark, aggregate, and otherwise exploit such
    information and materials for any business, commercial, operational, security, product, analytics,
    research, training, marketing, or development purpose, in identified, de-identified, anonymized,
    pseudonymized, aggregated, or other form, subject only to Suvu’s Privacy Policy and applicable
    law.
    You represent and warrant that you have all necessary rights and permissions to grant the
    foregoing rights.

  15. Account Verification; Information Requests;
    Monitoring
    Suvu may at any time require identity verification, business verification, beneficial ownership
    information, tax forms, formation documents, licenses, permits, certifications, insurance
    documents, invoices, supply chain records, banking information, product documents, test
    reports, compliance records, shipping records, or any other documentation or information Suvu
    deems necessary or advisable.
    Suvu may monitor accounts, listings, messages, orders, metadata, device signals, user activity,
    transaction patterns, and related information for fraud prevention, compliance, safety, platform
    integrity, risk management, dispute handling, legal protection, analytics, service improvement,
    and enforcement.
    Failure to provide requested information to Suvu’s satisfaction may result in application denial,
    account restriction, listing suppression, payout holds, reserve requirements, suspension,
    termination, legal escalation, or any other action Suvu deems appropriate.

  16. Suspension; Termination; Enforcement
    Suvu may suspend, restrict, freeze, hold, deactivate, de-index, remove, terminate, or otherwise
    limit any seller account, listing, payout, reserve, communication channel, integration, or feature
    at any time, with or without notice, for any reason or no reason, including risk, fraud,
    compliance, policy, legal, operational, reputational, safety, insurance, processor, tax, or business
    reasons.
    Suvu has no obligation to continue offering the platform or any seller access to it.

  17. Disclaimers
    THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.
    ” TO THE MAXIMUM EXTENT
    PERMITTED BY LAW, SUVU DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER
    EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF
    MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
    NON-INFRINGEMENT, SYSTEM INTEGRATION, QUIET ENJOYMENT, ACCURACY,
    AVAILABILITY, AND SECURITY.
    Suvu does not warrant or guarantee buyer legitimacy, seller legitimacy, payment completion,
    sales volume, product quality, shipping outcomes, tax treatment, regulatory compliance,
    marketability, or freedom from infringement.

  18. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU AND ITS AFFILIATES, OWNERS,
    MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS,
    AGENTS, LICENSORS, SUCCESSORS, AND SERVICE PROVIDERS SHALL NOT BE
    LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY,
    PUNITIVE, OR LOST PROFITS DAMAGES, OR ANY LOSS OF DATA, BUSINESS, REVENUE,
    REPUTATION, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO SUVU,
    THE PLATFORM, ANY LISTING, ANY ORDER, ANY SHIPMENT, ANY PRODUCT, ANY
    OFF-PLATFORM TRANSACTION, ANY USER DISPUTE, OR THIS SELLER AGREEMENT,
    EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU’S TOTAL AGGREGATE LIABILITY

  19. Indemnification
    You agree to defend, indemnify, and hold harmless Suvu and its affiliates, owners, members,
    managers, officers, directors, employees, contractors, agents, licensors, successors, and
    service providers from and against any and all claims, actions, demands, investigations,
    proceedings, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and
    expenses, including reasonable attorneys’ fees, arising out of or related to:






    your account, business, products, services, listings, content, or conduct;
    any sale, shipment, return, refund, dispute, injury, death, property damage, defect, recall,
    regulatory issue, or noncompliance related to your products or services;
    any actual or alleged infringement, misappropriation, or violation of intellectual property,
    proprietary, privacy, publicity, or other rights;
    any taxes, duties, tariffs, fees, or reporting obligations relating to your business or
    transactions;
    your breach of this Seller Agreement or any Suvu policy; or
    your violation of any law or regulation.

shoppers, sourcing users, business purchasers, individual purchasers, and other non-seller

users (“Buyer,

By creating an account, browsing, requesting quotes, messaging sellers, placing orders, using

marketplace tools, or otherwise using Suvu, you agree to these Buyer Terms.

1. Marketplace Role Only

Suvu operates a marketplace and technology platform. Unless Suvu expressly states otherwise

in writing for a specific transaction, Suvu is not the manufacturer, seller, importer, exporter,

distributor, warehouse, fulfillment provider, carrier, insurer, broker, testing lab, or guarantor of

third-party goods or services.

Products and services offered by third parties are offered by those third parties alone. Suvu

does not take title to third-party goods and is not responsible for product quality, legality, safety,

labeling, certifications, compliance, performance, availability, or fitness for purpose.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use Suvu. If using Suvu

on behalf of a business or entity, you represent that you have authority to bind that entity.

You are responsible for maintaining the confidentiality of your account credentials and for all

activity under your account.

3. Buyer Responsibility; Independent Verification

You are solely responsible for evaluating sellers, products, specifications, samples, quantities,

pricing, lead times, terms, shipping arrangements, insurance, certifications, legal compliance,

and suitability for your intended use.

Suvu does not verify all sellers, products, claims, documents, or certifications and does not

guarantee the identity, legitimacy, reliability, quality, or compliance of any seller or product.4. Orders and Transactions

Orders placed through Suvu or through Suvu-supported flows are transactions between you and

the applicable seller unless Suvu expressly states otherwise in writing.

Sellers are solely responsible for fulfillment, shipment, delivery, packaging, labeling, product

conformity, warranties, returns, and compliance, except where Suvu explicitly states otherwise.

5. Off-Platform Transactions

You may communicate and transact with sellers outside Suvu, including through direct ACH,

wire, check, cash, or other external arrangements. Where you transact outside Suvu or outside

Suvu-supported payment, checkout, order-management, or transaction flows, Suvu is not a

party to the transaction and bears no responsibility whatsoever for payment, nonpayment,

fraud, chargebacks, taxes, shipment, loss, damage, delays, warranties, defects, personal injury,

property damage, compliance, intellectual property issues, or disputes of any kind.

Any off-platform transaction is deemed a direct private business arrangement solely between

you and the seller, exactly as if you and the seller had found each other and done business

entirely on your own without Suvu. Even if you first met, communicated, were introduced,

negotiated, or exchanged information through Suvu, once you transact outside Suvu-supported

payment or transaction flows, you do so entirely at your own risk and Suvu has zero liability or

responsibility relating to that transaction or relationship.

6. Payments; Refunds; Holds; Disputes

Where payment functionality is made available through Suvu or through Suvu-connected

payment flows, Suvu may in its sole discretion place holds, delay releases, reverse credits,

issue refunds, deny claims, investigate fraud, request documentation, and make final

determinations regarding disputes or platform-related claims.

Unless otherwise required by law or expressly stated by Suvu, no return is permitted without

seller approval. Notwithstanding the foregoing, Suvu may in its sole discretion force refunds,

deny refunds, or otherwise resolve disputes as it deems appropriate.

7. Taxes

Where required or permitted by law, Suvu may calculate, collect, display, estimate, withhold, or

remit taxes on transactions processed through the platform. Buyers remain responsible for any

taxes, duties, tariffs, customs charges, and governmental fees applicable to their purchases,

particularly where not collected by Suvu.8. Shipping; Loss; Damage

Sellers and applicable carriers are solely responsible for shipping, transit, delivery performance,

customs clearance, lost packages, damaged goods, delays, and related claims. Suvu is not

responsible for those matters.

9. Product Safety; Regulatory Matters

Buyers are responsible for determining whether products are suitable, lawful, and compliant for

their intended use, destination, industry, and jurisdiction. Buyers must independently evaluate

specifications, warnings, instructions, and applicable regulatory requirements.

10. Intellectual Property and Use Restrictions

You may not use Suvu to violate intellectual property rights, misappropriate confidential

information, reverse engineer restricted materials, scrape protected data, or engage in

counterfeit, deceptive, or unlawful conduct.

11. Data Rights; Platform Use

By using Suvu, you grant Suvu the right to collect, store, analyze, use, reproduce,

commercialize, license, benchmark, aggregate, and otherwise exploit account information,

activity data, communications, transaction data, uploaded content, and related materials to the

maximum extent permitted by law and as described in Suvu’s Privacy Policy.

12. Suspension; Termination

Suvu may suspend, restrict, or terminate your account or access at any time, with or without

notice, for any reason or no reason, including risk, fraud, policy, legal, operational, reputational,

or business reasons.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.

” TO THE MAXIMUM EXTENT

PERMITTED BY LAW, SUVU DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER

EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,

NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

Suvu does not guarantee seller legitimacy, payment outcomes, shipping outcomes, product

quality, product legality, tax treatment, or freedom from infringement.14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU AND ITS AFFILIATES, OWNERS,

MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS,

AGENTS, LICENSORS, SUCCESSORS, AND SERVICE PROVIDERS SHALL NOT BE

LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY,

PUNITIVE, OR LOST PROFITS DAMAGES, OR ANY LOSS OF DATA, BUSINESS, REVENUE,

REPUTATION, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO SUVU,

THE PLATFORM, ANY LISTING, ANY ORDER, ANY SHIPMENT, ANY PRODUCT, ANY

OFF-PLATFORM TRANSACTION, ANY USER DISPUTE, OR THESE BUYER TERMS, EVEN

IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUVU’S TOTAL AGGREGATE LIABILITY

ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE BUYER TERMS SHALL

NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY

YOU TO SUVU IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE

CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

15. Indemnification

You agree to defend, indemnify, and hold harmless Suvu and its affiliates, owners, members,

managers, officers, directors, employees, contractors, agents, licensors, successors, and

service providers from and against any and all claims, actions, demands, investigations,

proceedings, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and

expenses, including reasonable attorneys’ fees, arising out of or related to your account,

conduct, purchases, communications, disputes, legal violations, or breach of these Buyer

Terms.

16. Governing Law; Dispute Resolution

These Buyer Terms are governed by the laws of the State of New Jersey, without regard to

conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Buyer Terms, the platform,

or the relationship between Suvu and the buyer may, at Suvu’s election, be resolved either (a)

exclusively in the state or federal courts located in New Jersey, or (b) by binding arbitration

administered in New Jersey under rules selected by Suvu. Buyer agrees that Suvu may choose

the forum in its sole discretion after the dispute arises or as otherwise permitted in Suvu’s

notice.

To the maximum extent permitted by law, buyer waives any right to participate in a class action,

class arbitration, representative action, or jury trial against Suvu.17. Changes to These Terms

Suvu may modify these Buyer Terms, its policies, fees, procedures, dispute processes, product

restrictions, and platform features at any time. Updated terms become effective upon posting or

upon notice as determined by Suvu. Continued use of Suvu after the effective date constitutes

acceptance of the updated terms.

18. General Provisions

These Buyer Terms, together with any incorporated policies and additional written agreements,

constitute the entire agreement between you and Suvu regarding buyer use of the platform. If

any provision is found unenforceable, the remaining provisions remain in effect. Suvu’s failure to

enforce any provision is not a waiver. You may not assign these Buyer Terms without Suvu’s

prior written consent. Suvu may assign these Buyer Terms freely.
